TERMS & CONDITIONS
CLIENTS:
Clients who engage with 1454067 Alberta Inc. o/a Canadian Graphic Contractors and Wrap Haus Custom Walls to purchase products and services agree to the following terms and conditions:
Price Validity
All quotations and estimates shall be provided by Canadian Graphic Contractors in writing and based on a specific scope of work, and are considered budgetary estimates and are based in good faith by the information available at the time of estimate. Unless otherwise stated the estimate is for work done during normal business hours (Monday – Friday from 7 am to 5 pm). We reserve the right to review estimates should the scope of work change, or other factors change from the initial information available at the time of the estimate. All written estimates shall be valid for a period of 30 days from the estimated date. Given that various components are subject to currency fluctuations, Canadian Graphic Contractors. reserves the right to review pricing at the end of the thirty (30) day period and revise it accordingly
Delays in Delivery
Canadian Graphic Contractors will not be liable for damage for delays in delivery or installation completion due to causes beyond its reasonable control.
Delivery of Materials
It is the sole cost of the Client to ensure all materials are on-site and on time for the successful completion of the project. Should the Client not send the materials directly to the project site, any costs associated with the delivery of the material to the site may be charged back to the Client. Should materials not be available prior to installation, downtime or rescheduling costs may be added to the cost of the project.
Downtime
Canadian Graphic Contractors reserves the right to charge for unexpected downtime that is a result of, but not limited to, graphics and/or other items not being available before the time of installation, or site conditions not being conducive to the successful installation of the materials. Downtime rate will be charged out at the rate of $100.00 per man-hour during regular business hours and $130.00 per man-hour after regular working hours.
Payment Terms
Payment terms for goods and services are C.O.D. unless otherwise agreed in writing between the parties. When warranted, a deposit may be required prior to commencement of work along with specific terms and conditions, milestones, deliverables, and payment schedule as agreed to in writing between the parties. CGC Preferred Vendors qualify for payment terms.
Overdue Accounts
Interest will be charged at a rate of 2.5% per month on unpaid balances over 30 days past due. Title to the goods and/or products supplied by Canadian Graphic Contractors shall remain with Canadian Graphic Contractors until full payment has been received and whereby title to the property shall be deemed formally transferred to the client.
Warranty
The Canadian Graphic Contractors make every effort to ensure that each project is successful and warrant that under normal use or service the installation of components shall be free from defects in workmanship for a period of 60 days from the date of installation unless agreed upon in writing. Canadian Graphic Contractors reserves the right to repair or replace the defect at its sole discretion. Some items, but not limited to, horizontal decals, banners, temporary signage, and textured surface films do not carry any warranty and will be installed at the Clients risk. Damage caused during or after the installation due to misuse, negligence, deliberate, or otherwise incidental, shall immediately void all warranties. We can not warranty any items where we are asked to install outside the manufacturer's warrantied temperature guidelines, or in extreme weather conditions. Wrap Haus Custom Walls are printed on Drytac Retac and will stick to most walls. However, it is the discretion of the buyer to ensure the wall has been properly prepped and meets the requirements set forth in the product installation specifications.
Permits
While Canadian Graphic Contractors may be able to assist when specifically requested, all required permits and permissions remain the sole responsibility of the client.
Storage
In the event the delivery and installation of finished goods is delayed by the client due to any cause (e.g. permit delays, construction scheduling, etc.), Canadian Graphic Contractors shall retain the right to place the completed goods into storage on behalf of the client. Canadian Graphic Contractors retain the right to store finished goods at Canadian Graphic Contractors’ facility, or a third-party location for a period not to exceed one hundred twenty (120) days. The client agrees to pay expenses associated with such storage. While Canadian Graphic Contractors shall show a reasonable duty of care to ensure that items placed in storage are protected from damage or loss, Canadian Graphic Contractors shall not assume liability for finished goods placed into storage.
Intellectual Property Rights
All design concepts and design detailed drawings and the right to thereof, and developed by Canadian Graphic Contractors and provided to a client for review, shall remain the exclusive property of Canadian Graphic Contractors. Such design concepts and detailed drawings are not to be reproduced in any medium, nor provided to a third party by the client. Should, however, the client wish to obtain the property rights to the design concepts and detailed drawings, a written agreement, and requisite fee shall be negotiated between the parties for the transfer of the intellectual property rights from Canadian Graphic Contractors, to the client. Upon execution of the agreement and payment in full of such fee by the client, Canadian Graphic Contractors shall grant in writing the transfer of intellectual property rights to the client for the specific design concepts and design detailed drawings.
Cancellation
Canceled orders shall be subject to cancellation charges. Charges may include expenses incurred up to the time of the notification of cancellation, work in progress, irrevocable future commitments to third parties for goods and services, and other charges as required. Cancellation charges shall be at the sole discretion of Canadian Graphic Contractors Amounts owing shall be due thirty (30) days after issuance of a final invoice by Canadian Graphic Contractors. Any amount credited against a deposit resulting from a canceled order shall be valid for a period of one (1) year from the date of cancellation.
Reproduction
Canadian Graphic Contractors shall have the right to possess and use images, descriptions of work in progress, and the completed project for their own promotional purposes.
Acceptance of Terms
Issuing a purchase order and/or the payment of the deposit shall constitute acceptance of these terms and conditions.
VENDORS:
1454067 Alberta Inc. o/a Canadian Graphic Contractors is a national network of talented vendors who engage in trading services such as Design, Print, Fabrication, and Installation services within the industry.
Quotations and Estimates
Quotations and estimates provided to Canadian Graphic Contractors are to be provided in writing outlining the products and services to be provided and key milestones and are to be valid for a period of not less than thirty (30) days from the date of the quotation or estimate.
Disclosure
Vendors who engage in the provision of products and services shall agree to disclose certain information upon receipt of a written request by Canadian Graphic Contractors. Information requested by Canadian Graphic Contractors may include but is not limited to information required to determine potential conflicts of interest, financial stability, availability of qualified resources and professional qualifications, association memberships, and references of current and/or past clients. Canadian Graphic Contractors shall agree to hold such provided information in the strictest confidence.
Deposits
Deposits paid to any and all vendors by Canadian Graphic Contractors shall be refundable to Canadian Graphic Contractors in the event of a fundamental breach of performance as defined and set out in the formal quotation provided to Canadian Graphic Contractors, or agreement between the parties.
Ownership of Supplied Components
Any and all components delivered by Canadian Graphic Contractors to any engaged vendor are the exclusive property of Canadian Graphic Contractors. Such components are to be made available for return by Canadian Graphic Contractors within forty-eight (48) hours of any written request made to such engaged vendor.
